The Registrant was not able to complete the required financial statements for the transition period ended March 31, 2008 on a timely basis.

The transition period ended March 31, 2008 is being undertaken in connection with a change in the Registrant’s fiscal year end from December 31st to March 31st that was implemented as a result of the Registrant’s acquisition of an operating business in February 2008 that has a fiscal year end of March 31st.  The prior year results of operations of the Registrant do not include the results of any operating business as the Registrant at such time was a shell corporation. The results of operations for the transition period ended March 31, 2008 will include, in part, the results of the newly acquired business.
